Definitions
In this agreement, the following terms have the meanings given below:
Agreement – This Consultancy Terms & Conditions document, together with any engagement letter or written scope of work, outlining the terms under which services are provided.
Client – The organisation receiving the consultancy services from Moore About Homes Ltd.
Consultant – Moore About Homes Ltd, providing consultancy services under this agreement.
Engagement Letter – A written document or email confirming specific terms of the consultancy, including the start and end date, fee, scope of work, and time commitment.
Services – The professional consultancy work, strategic advice, mentoring or specialist support provided by the Consultant to the Client, as defined in the engagement letter.
Fee – The agreed amount payable to the Consultant in return for the Services, as specified in the Engagement Letter.
Confidential Information – All non-public business, strategic, financial, technical, or personal data shared between parties during the engagement.
Intellectual Property (IP) – All materials, outputs, know-how, concepts or original content created by the Consultant and rights resulting from or developed during the provision of the Services.
Conflict of Interest – Any situation where the Consultant’s other professional activities may interfere with or compromise their obligations under this agreement.
Termination Date – The date on which this agreement ends, whether automatically or following notice from either party.
Working Day – A day other than a Saturday, Sunday, or UK public holiday.
Consultancy Agreement
Engagement Terms
The Client is engaging Moore About Homes Ltd to provide specialist consultancy services, as outlined in the Engagement Letter. This is a commercial agreement and does not create an employment or partnership relationship.
Duration
This engagement begins on the start date specified in the Engagement Letter and continues until its end date, unless terminated earlier in accordance with this agreement or extended by mutual consent.
Consultant’s Responsibilities
Moore About Homes Ltd agrees to:
Perform services with professionalism, due care, and skill.
Observe relevant legal, ethical, and regulatory obligations.
Safeguard confidential information relating to your business or clients.
Promptly inform you of any actual or potential conflicts of interest.
Time Commitment
Moore About Homes Ltd will provide the necessary time and attention required to fulfil the services. The estimated time commitment will be set out in the Engagement Letter but may vary depending on business needs.
Fees and Payment
The fees will be confirmed in the Engagement Letter and paid within 21 days of the presentation of invoice. The fees will be subject to VAT. A periodic review of fees will be conducted, with all changes requiring mutual agreement and will be confirmed in writing.
Late Payment of Fees
If payment of any undisputed invoice is not received within 14 days of the due date, Moore About Homes Ltd reserves the right to:
Charge interest on the overdue amount at a rate of 8% above the Bank of England base rate, calculated daily from the due date until payment is received in full.
Suspend services until outstanding payments are received, with prior written notice.
Recover any reasonable costs incurred in pursuing payment, including administrative and legal fees.
Moore About Homes Ltd will make reasonable efforts to resolve any payment delay amicably before taking further action.
Expenses
Moore About Homes Ltd will be reimbursed for reasonable business expenses incurred in delivering the Services, subject to Client approval and valid receipts. This includes
travel (including mileage at HMRC approved rates, flight tickets, parking, tolls, taxis etc), accommodation and other business-related costs. The expenses will be subject to VAT.
Confidentiality
Moore About Homes Ltd will maintain strict confidentiality regarding client-related information both during and after the engagement and will only share sensitive information with third parties during the consultancy when authorised and legally required to do so. This obligation to uphold confidentiality will continue after the termination of the agreement.
Intellectual Property
Any intellectual property created by Moore About Homes Ltd during the engagement that is specific to the Client’s work will belong to the Client. The Consultant retains the right to reuse general skills, methods or templates developed through prior experience.
Outside Interests
Moore About Homes Ltd may undertake other consultancy work during the engagement, provided it does not conflict with its obligations to the Client and is disclosed to the Client, if similar in scope or sector or could be a competitor/potential competitor, to receive prior written consent.
Warranties
Moore About Homes Ltd warrants that it will carry out the Services with reasonable care, skill and diligence, in accordance with good industry practice and any agreed scope of work and that it is duly incorporated and authorised to enter into and perform its obligations under this agreement.
Exclusions of Liability
Moore About Homes Ltd shall not be liable for:
Indirect or consequential losses, including loss of profit, business interruption, or reputational harm, however caused.
Any decisions made or actions taken by the Client based on consultancy advice, unless arising directly from negligence or breach of contract.
Delays or failures caused by events outside the Consultant’s reasonable control, such as changes in government policy, third-party dependencies, or force majeure events.
Any errors or omissions in information provided by the Client or third parties relied upon in delivering the Services.
Should a dispute occur, the maximum amount Moore About Homes can be held liable for is the total fees paid to the Client in the preceding 12 months.
Termination
This agreement may be terminated by either party giving 12 weeks' written notice, or immediately by either party for material breach, misconduct, incapacity or unresolved conflict of interest or upon completion of the agreed Services.
Property, Access & Return of Materials
Upon termination or completion of the engagement, Moore About Homes Ltd shall:
Return or delete all documents, manuals, materials, hardware, software, and other assets provided by the Client or created specifically for the Client during the engagement.
Remove all Client data or sensitive materials stored on Moore About Homes Ltd’s systems, devices, or cloud platforms, unless agreed in writing that certain records may be retained for compliance, reference, or legal reasons.
Restrict further access to any online or shared environments linked to the Client’s business, including project portals, file sharing systems, or collaborative platforms, unless otherwise instructed by the Client.
Data Protection
Moore About Homes Ltd complies with all relevant UK data protection laws. Any personal data processed will be handled securely and in accordance with the Consultant’s privacy policy.
Legal Status
Moore About Homes Ltd is an independent consultant, not an employee or partner of the Client. The Consultant is responsible for its own tax and insurance obligations.
Nothing in this agreement gives either party the right to bind the other.
General Provisions
This agreement represents the full agreement between the parties.
Any changes must be made in writing and signed by both parties.
The Consultant will not subcontract the Services under this agreement without prior agreement and written consent.
This agreement is governed by English law and any dispute will be subject to the jurisdiction of the English courts.
